TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Badinc, LLC ("Company," "we," "us," or "our") governing your access to and use of the thebadlist website, applications, software, services, and related content (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. ELIGIBILITY

The Service is intended solely for users who are at least eighteen (18) years of age. By using the Service, you represent and warrant that:

You are at least 18 years old;
You have the legal authority to enter into these Terms;
Your use of the Service does not violate any applicable law or regulation.

We reserve the right to refuse access to the Service to any person at any time for any reason.

2. ACCOUNTS AND REGISTRATION

In order to access certain features of the Service, you may be required to create an account.

You agree to:

Provide accurate, current, and complete information;
Maintain and promptly update your account information;
Maintain the confidentiality of your login credentials;
Accept responsibility for all activities occurring under your account.

You may not:

Share your account credentials with others;
Sell, transfer, or sublicense your account;
Create accounts using false or misleading information.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. FREE TRIALS

The Service may offer a thirty (30) day free trial period for new users.

No payment method may be required to begin the free trial. Upon expiration of the free trial period, continued use of the Service may require payment of applicable subscription fees.

We reserve the right to:

Modify or terminate free trial offers at any time;
Limit eligibility for free trials;
Deny free trial access in cases of suspected abuse or misuse.

4. SUBSCRIPTIONS, BILLING, AND AUTO-RENEWAL

Certain features of the Service require a paid subscription.

Subscriptions may be offered on:

A monthly basis;
An annual basis;
Other promotional or limited-term billing structures at our discretion.

ALL SUBSCRIPTIONS AUTOMATICALLY RENEW UNLESS CANCELED PRIOR TO THE NEXT BILLING DATE.

By purchasing a subscription, you authorize us and our third-party payment processor to charge the applicable subscription fees and taxes to your selected payment method.

Subscription pricing may be modified at any time upon reasonable notice.

5. PAYMENT PROCESSING

Payments are processed by third-party payment providers, including Stripe.

We do not store full payment card information on our servers.

Your use of Stripe and other payment processors is subject to their applicable terms and privacy policies.

6. CANCELLATIONS AND REFUNDS

You may cancel your subscription at any time through your account settings or by contacting us at service@thebadlist.com.

Cancellation will take effect at the end of the current billing cycle. No prorated refunds will be provided.

ALL PAYMENTS ARE NON-REFUNDABLE EXCEPT IN CASES OF ACCIDENTAL OR UNAUTHORIZED BILLING, AS DETERMINED BY BADINC, LLC IN ITS SOLE DISCRETION.

7. ACCEPTABLE USE

You agree not to use the Service to:

Violate any law or regulation;
Harass, abuse, threaten, or harm others;
Upload malicious code or harmful content;
Attempt unauthorized access to systems or accounts;
Reverse engineer or decompile the Service;
Scrape, crawl, or harvest data from the Service;
Use automated bots or scripts without authorization;
Share accounts with unauthorized users;
Interfere with the security or operation of the Service;
Overload infrastructure or disrupt availability;
Use the Service for fraudulent or deceptive purposes.

We reserve the right to investigate and take appropriate legal action for violations of this section.

8. USER CONTENT

The Service may allow you to create, upload, store, or submit content, including tasks, notes, goals, schedules, workspace data, and other materials ("User Content").

You retain ownership of your User Content.

However, by submitting User Content to the Service, you grant Badinc, LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit such content solely for the purpose of operating, improving, and providing the Service.

You represent and warrant that:

You own or have the necessary rights to your User Content;
Your User Content does not violate any law or third-party rights.

9. TEAM AND ORGANIZATIONAL FEATURES

The Service may support shared workspaces, collaborative features, team accounts, or organizational accounts.

Workspace administrators may have access to User Content and account management controls associated with their organization or workspace.

Badinc, LLC shall not be responsible for disputes between users, organizations, or workspace administrators.

10. INTELLECTUAL PROPERTY

The Service, including all software, branding, logos, designs, interfaces, graphics, text, and functionality, is owned by Badinc, LLC and protected by intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, create derivative works from, or exploit any portion of the Service.

"The Bad List," associated logos, and related branding are proprietary trademarks of Badinc, LLC.

11. THIRD-PARTY SERVICES AND INTEGRATIONS

The Service may integrate with third-party services, including calendar providers, notification providers, email or SMS services, artificial intelligence systems, APIs, and external platforms.

We are not responsible for third-party services, their availability, accuracy, or their privacy or security practices.

Your use of third-party integrations may be subject to additional terms.

12. SERVICE AVAILABILITY

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

We do not guarantee continuous availability, error-free operation, data preservation, security from unauthorized access, or compatibility with all devices or systems.

We reserve the right to modify, suspend, discontinue, or remove features from the Service at any time without liability.

13. TERMINATION

We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time and for any reason, including violation of these Terms, nonpayment, abuse or misuse of the Service, fraudulent activity, security concerns, or prolonged inactivity.

Termination may result in deletion of User Content and account data.

14. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS," "WITH ALL FAULTS," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

BADINC, LLC DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BADINC, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PRODUCTIVITY LOSS, OR PERSONAL OR PROFESSIONAL DECISIONS MADE USING THE SERVICE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF BADINC, LLC EXCEED THE AMOUNT PAID BY YOU TO THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Badinc, LLC and its officers, employees, affiliates, contractors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses arising from:

Your use of the Service;
Your User Content;
Your violation of these Terms;
Your violation of any law or third-party rights.

17. ARBITRATION AGREEMENT

PLEASE READ THIS SECTION CAREFULLY.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in California.

You waive the right to a jury trial, participation in a class action lawsuit, and participation in class-wide arbitration. All claims must be brought individually.

This arbitration agreement shall survive termination of these Terms.

18. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

19. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Service with an updated effective date. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
